1. Acceptance of Terms
By accessing or using the services, software, or website offered by Atsrc Technologies Private Limited ("Company", "we", "our", or "us"), you agree to comply with and be bound by these Terms of Service ("Terms"). These Terms apply to all clients, users, and others who access or use our software, development services, or related products ("Services").

2. Scope of Services
Atsrc Technologies Private Limited offers professional software development services, including but not limited to:

Cloud-based solutions and SaaS platforms
Software maintenance and technical support
Consulting and product strategy

The specific scope of any service engagement will be outlined in a project proposal or agreement ("Statement of Work" or "SOW") signed by both parties.
3. Client Responsibilities
If you engage us for custom software development, you agree to:
Provide clear and complete specifications and documentation.
Cooperate with our team and provide timely access to required resources.
Respond promptly to communication and feedback requests.
Ensure any third-party content, data, or code you provide is properly licensed and does not violate any laws.
4. Intellectual Property
4.1 Custom Software Deliverables
Unless otherwise agreed in writing, all intellectual property rights in the final software deliverables created by Atsrc Technologies Private Limited will be transferred to the client upon full payment. This does not include:
Pre-existing tools, libraries, or frameworks owned by Atsrc Technologies
Third-party or open-source components subject to separate licenses
We reserve the right to reuse non-client-specific components, templates, or methodologies in future projects.
4.2 SaaS and Licensed Products
If you access our SaaS platform or any of our licensed software products, Atsrc Technologies grants you a non-exclusive, non-transferable, limited license to use the product under the terms of your subscription or agreement.
You may not:
Reverse engineer, copy, or resell the software
Share access credentials with unauthorized users
Use the software in violation of applicable laws
5. Payment Terms
Payment terms, schedules, and milestones will be defined in the agreement or project scope. Unless stated otherwise:
All invoices are payable within 15 days of receipt
Late payments may incur penalties or interest charges
Atsrc Technologies may suspend project work or access to services in case of delayed payment
Ownership of deliverables remains with Atsrc until payment is complete
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the project. This includes source code, business data, trade secrets, and any unpublished material.
Confidentiality obligations will survive the termination or completion of any engagement.
7. Warranties and Disclaimers
Atsrc Technologies strives to deliver software that meets agreed-upon specifications. However:
We do not warrant that the software will be entirely error-free or uninterrupted.
We are not responsible for malfunctions caused by misuse, third-party systems, or post-deployment changes not authorized by us.
All deliverables are provided “as is” unless a separate warranty or maintenance agreement is in place.
8. Limitation of Liability
To the fullest extent permitted by law, Atsrc Technologies Private Limited will not be liable for:
Indirect, incidental, or consequential damages
Loss of revenue, profits, or data
Business interruption or reputational harm
Our total liability for any claim will not exceed the total amount paid by the client in the 12 months preceding the claim.
9. Termination
Either party may terminate a service engagement or agreement with written notice, subject to the termination terms stated in the agreement.
Upon termination:
All work in progress will be paused
Any unpaid invoices become immediately due
Software licenses may be revoked
We may delete data after a reasonable retention period unless agreed otherwise
10. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of [Insert Applicable Jurisdiction — e.g., Union Territory of Chandigarh, India], without regard to conflict of law principles.
Any disputes shall be subject to the exclusive jurisdiction of the courts located in Chandigarh, India
11. Updates to These Terms
We reserve the right to modify or replace these Terms at any time. Updates will be effective upon posting to our website or upon direct notice to clients. Your continued use of our Services after any such change constitutes your acceptance of the new Terms.
